1. Agreement to Terms

These Terms of Service are a binding agreement between you and Streetvine LLC (“Streetvine,” “we,” “us,” or “our”) covering your use of the Streetvine website and mobile applications (the “Services”). If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

The Services are intended for users in the United States and are not directed to anyone under 18. By using the Services, you confirm you are at least 18 years old, reside in the United States, and will comply with these Terms.

2. Your Account & Responsibilities

You agree to provide accurate account information, maintain the security of your login credentials, and promptly update information that changes. You are responsible for all activity under your account. We may suspend or terminate your access for violations of these Terms or applicable law.

3. User Content & License to Streetvine LLC

You retain ownership of photos, text, and other content you submit or upload (“User Content”). To operate and improve the Services, you grant Streetvine LLC a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, publicly display, and otherwise use your User Content for: (a) operating, providing, and promoting the Services; (b) safety review and moderation; and (c) processing and training machine learning models (including third-party models now and our proprietary models later).

You represent and warrant that you have all rights necessary to grant this license; your User Content does not infringe or violate any third-party rights; and you have obtained consent before including personal data of others. We are not responsible for User Content posted by you or others, and we have no obligation to monitor it, but we may remove or disable access to any User Content at our discretion.

If you delete your account, we will remove your uploaded images from active service. Reasonable backup, archival, and moderation copies may persist for a limited time. Model outputs or artifacts already derived from your content may persist because they cannot feasibly be isolated or removed without retraining the models.

4. Content Standards & Prohibited Conduct

You may not upload or share content that is illegal, infringes intellectual property rights, contains personal data of others without consent, is harassing or hateful, sexually explicit, violent, or otherwise violates these Terms. You may not interfere with the Services, access them through unauthorized means (including bots or scraping), or attempt to bypass security or moderation controls.

5. Moderation, Reporting & DMCA

We may remove or restrict content or accounts at any time for violations of these Terms, App Store/Play Store policies, or legal requirements. We maintain a repeat-infringer policy. To report content or submit a takedown, contact us at legal@streetvine.app.

DMCA Notices: Provide (a) your signature; (b) identification of the copyrighted work and the allegedly infringing material; (c) your contact information; (d) a statement of good-faith belief; and (e) a statement, under penalty of perjury, that your notice is accurate and you are authorized to act. Send notices to legal@streetvine.app. We will review and respond as required by law.

Counter-Notices: If you believe content was removed in error, send a counter-notice with your signature, identification of the removed material, a statement under penalty of perjury of good-faith mistake, consent to jurisdiction of federal courts in Montana, and your contact information. Send counter-notices to legal@streetvine.app.

6. Vision Model Processing & Model Training

Images and related data may be processed by third-party vision model vendors (currently Replicate) and by models operated by Streetvine LLC to read poster information and generate outputs. Inputs and outputs may be stored, reviewed for safety and quality, and used to develop, train, and improve current and future models. Model outputs may be inaccurate or incomplete; do not rely on them as factual.

7. Indemnification

You agree to defend, indemnify, and hold harmless Streetvine LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your User Content or your violation of these Terms or applicable law.

8. Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage. We do not control or endorse User Content and are not responsible for it. We do not guarantee uninterrupted or error-free operation.

9. Limitation of Liability

To the fullest extent permitted by law, Streetvine LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, or goodwill, even if we were advised of the possibility. Our total liability for any claim arising out of or relating to the Services will not exceed the greater of $100 or the amount you paid to Streetvine LLC for the Services in the twelve months before the claim.

10. Termination

We may suspend or terminate your access at any time for any violation of these Terms or to comply with legal obligations. You may stop using the Services at any time. Sections that by their nature should survive termination (including licenses granted, indemnity, disclaimers, limitations of liability, and dispute terms) will survive.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Montana, excluding its conflict of law rules. Any dispute will be resolved by binding arbitration administered by the American Arbitration Association in Missoula, Montana, on an individual basis only, with no class actions or consolidated proceedings. The Federal Arbitration Act governs interpretation and enforcement of this agreement to arbitrate. If the arbitration agreement is found unenforceable, the exclusive jurisdiction and venue will be the state or federal courts located in Missoula County, Montana, and you waive any objection to such jurisdiction and venue.
